Company secretary position

 

  • Arrange annual general meeting to submit annual return

Appointment of designated representative

 

Since March 1, 2018, companies incorporated in Hong Kong must:

 

  • There is a designated representative who provides law enforcement officers with information and assistance related to the register of important controllers.

  • Appointment of any of the following persons as the "designated representative" of the company: - the company's shareholders / directors or employees, and must be a natural person resident in Hong Kong, or a licensed accounting professional in Hong Kong or a licensed legal professional in Hong Kong or a "trust or company" Serving Hong Kong Licensees"

  • If the company fails to comply with the requirements to maintain a register of important controllers, the company and each of its responsible persons may be fined a maximum of $25,000 after conviction and a fine of $700 each.

Register of significant controller

​

 Since March 1, 2018, companies incorporated in Hong Kong must:

 

  • Take reasonable steps to identify important controllers of their company

 

  • Send a notice to the important controller and obtain the required information of the person

​

  • Record information about its important controllers on the "Significant Controllers Register" and keep the information updated.

​

  • Keep a register of "significant controllers" at the company's registered office or elsewhere in Hong Kong, and

​

  • Allow legal personnel to check the "significant controller register" It is a criminal offence to fail to perform the duty of the "Significant Controller Register".

 

  • The company and each of its responsible persons are liable to a maximum fine of $25,000 after conviction and a fine of $700 each.
